These Terms of Service ("Terms") govern your use of the website dalotiq.com (the "Site") and, where you subscribe to it, the DalotIQ Proof of Delivery service (the "Service"). The Site and the Service are operated by Dalotiq Ltd, a company registered in England and Wales (Company No. 13790745) with its registered office at 115 Radford Road, Hysongreen Business Center, Nottingham, NG7 5DU, England ("DalotIQ", "we", "us").
By using the Site or subscribing to the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm that you have authority to bind that company.
1.Who these Terms are for
The Service is provided to businesses only. It is not intended for consumers, and consumer protection legislation applicable to consumer contracts does not apply.
2.The Service
DalotIQ provides a digital proof of delivery platform for haulage and logistics operators, including a driver mobile application, digital POD capture (signature, photo, GPS coordinates, and timestamp), a searchable POD ledger, and related reporting features. The features available to you depend on the subscription plan you select.
We may improve, update, or modify features of the Service from time to time, provided that no change will materially reduce the core functionality of your plan during a paid subscription period.
3.Free trial
New customers may use the Service free of charge for 15 days (the "Trial"). No payment details are required to begin the Trial. At the end of the Trial, continued use of the Service requires a paid subscription. If you do not subscribe, your access will be suspended. Data captured during the Trial will be retained for 30 days after the Trial ends, after which it may be deleted.
4.Subscriptions, fees, and billing
4.1 Plans
The Service is offered on the subscription plans and at the prices published at dalotiq.com/proof-of-delivery, currently Starter, Growth, and Business. Each plan includes a stated number of drivers, monthly POD volume, and storage period.
4.2 Additional drivers
Drivers above the plan allowance are billed at the per-driver monthly rate applicable to your plan, as published on the pricing page.
4.3 VAT
All prices exclude VAT, which will be added where applicable.
4.4 Billing
Subscriptions are billed monthly in advance by Dalotiq Ltd. Invoices are payable within 7 days of issue unless otherwise agreed in writing. We may suspend access to the Service where an invoice remains unpaid more than 7 days after its due date, having given you notice.
4.5 Price changes
We may change subscription prices by giving at least 30 days' written notice. Changes take effect at your next billing cycle after the notice period. If you do not accept a price change, you may cancel before it takes effect.
5.Cancellation
There is no minimum term and no lock-in. You may cancel at any time by written notice to info@dalotiq.com. Cancellation takes effect at the end of the current monthly billing period. Fees already paid are non-refundable except where required by law or expressly stated in these Terms.
6.Your data
6.1 Ownership
All delivery records, POD documents, signatures, photographs, and related data captured through the Service ("Customer Data") belong to you. We claim no ownership of Customer Data.
6.2 Licence to us
You grant us a limited licence to host, process, and display Customer Data solely to provide the Service, provide support, and comply with law.
6.3 Retention and export
Customer Data is retained for the storage period included in your plan. On cancellation, you may request an export of your Customer Data within 30 days of the effective cancellation date, after which we may delete it.
6.4 Data protection
Each party will comply with applicable data protection legislation, including UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf (for example, driver names and consignee signatures), we do so as your processor and only on your documented instructions. 7.Your responsibilities
You agree to:
- (a) ensure that login credentials are kept confidential and used only by authorised personnel and drivers;
- (b) ensure that you have a lawful basis for capturing personal data (including signatures and photographs) from consignees and drivers through the Service;
- (c) not use the Service to store or transmit unlawful material or malicious code;
- (d) not resell, sublicense, or make the Service available to third parties except as part of your ordinary delivery operations; and
- (e) not attempt to reverse engineer, copy, or create derivative works of the Service.
8.Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Planned maintenance will, where practicable, be carried out outside UK business hours. Support is provided through the channel included in your plan (email, phone, or priority support).
9.Intellectual property
The Service, the Site, and all software, designs, and content within them (excluding Customer Data) are owned by Dalotiq Ltd or its licensors. You receive a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.
10.Confidentiality
Each party will keep confidential any non-public information received from the other in connection with the Service and use it only for the purposes of these Terms. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
11.Liability
11.1
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
11.2
Subject to 11.1, neither party is liable for loss of profits, loss of business, loss of goodwill, or any indirect or consequential loss.
11.3
Subject to 11.1, our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees paid by you for the Service in that period.
11.4
The Service provides a record of deliveries; it does not constitute legal advice, and we are not responsible for the outcome of any commercial dispute between you and your customers, even where POD records are used as evidence.
12.Termination by us
We may terminate or suspend your access immediately if you materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within 14 days of written notice, or if you become insolvent.
13.Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14.General
These Terms constitute the entire agreement between the parties in relation to the Service. Neither party may assign these Terms without the other's consent, except that we may assign to a successor of our business. If any provision is found unenforceable, the remainder continues in effect. No third party has rights under the Contracts (Rights of Third Parties) Act 1999.
15.Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that we may bring proceedings to protect intellectual property rights in any jurisdiction.
